COSCO Shipping Ports Subsidiary to Contribute Up to RMB 360 Million to Subscribe Beibuwan Port (000582) A Shares

On the evening of 15 April, Beibu Gulf Port Company Limited ("Beibu Gulf Port", stock code: 000582) announced that recently, Shanghai China Shipping Terminal Development Company Limited ("Shanghai China Shipping Terminal") sent a " Letter of Intention to Issue A Shares to Specific Parties" to Beibu Gulf Port. Beibu Gulf Port Co., Ltd. to the specific object of the issue of A shares subscription intention letter", Shanghai China Shipping Terminal is interested in participating in the company to the specific object of the issue of A shares project, intends to contribute not more than 360 million yuan to subscribe to the company to the specific object of the issue of shares. Shanghai China Shipping Terminal is a shareholder holding more than 5% shares of Beibuwan Port, and this subscription constitutes a connected transaction.

Shanghai China Shipping Terminal was established in 2008, 100% owned by COSCO Shipping Port Development Co., Ltd. up to now, Shanghai China Shipping Terminal holds 9.82% of the shares of Beibu Gulf Port. Its business scope includes: investment in domestic and foreign terminals; warehousing; terminal facilities, equipment, leasing; port machinery and equipment-based international trade, trade between enterprises in the bonded area; business consulting services in the area.

Beibu Gulf Port said, Shanghai China Shipping Terminal to participate in the subscription of the company to the specific object of the issue of shares, is the embodiment of the company's confidence in the future development of the company's recognition of the value of the company, is conducive to the company to continue to expand the scale of capital, optimize the financial structure, reduce financial costs, enhance the company's sustained profitability and risk-resistant ability to increase the size of the company's assets and comprehensive strength, in line with the company's long-term development strategy, consistent with the company's and all the shareholders' interests. It is in line with the long-term development strategy of the Company and the interests of the Company and all shareholders. This connected transaction will not affect the independence of the Company, the main business of the Company will not be dependent on the related parties, and there is no damage to the interests of the Company or the non-connected shareholders of the Company.
